Jon S. Robins

Partner | Real Estate and Finance

Biography

Mr. Robins is a partner in the firm's Real Estate and Finance Department. His practice includes a full range of finance, equity investment and real estate activities for private equity funds, capital markets and institutional lenders, REITs, developers, owner/operators, corporations and investors.  Mr. Robins has extensive experience representing private equity funds, operating partners and other investors in the structuring and formation of senior/subordinate and pari passu joint ventures, and in the acquisition, financing and disposition by the resulting joint ventures of real estate investments, including multi-family, hospitality, office, retail and industrial real estate.

Jon has been representing lenders and financing providers for over twenty years, including conduit lenders, banks, insurance companies, and private equity funds, in the origination, purchase, sale, restructuring and enforcement of mortgage loans, mezzanine loans, construction loans, subordinate ("B") Notes, participation interests, preferred equity investments, receivables financing, factoring and asset based lending, and in structuring and negotiating intercreditor, co-lender and participation and servicing agreements.

Mr. Robins regularly advises mortgage, mezzanine and commercial lenders and preferred equity investors as to the strategies and tactics for resolving default situations.  He is currently representing lenders and preferred equity investors in enforcing their remedies, taking control of the subject properties and where applicable, conducting the requisite UCC sale.  In addition, his practice includes the representation of investors, including private equity funds, in purchasing distressed debt.  In such situations, Mr. Robins advises the investor in developing a strategy to obtain a satisfactory payoff of such debt or to acquire the property and other assets securing the debt, and in executing that strategy.

Mr. Robins regularly represents CMBS lenders and borrowers in the origination of mortgage and mezzanine loans often involving unique or complicated structures, and is one of the leading attorneys in the country with respect to tenancy-in-common financing.  Mr. Robins has a particular depth of experience with the financing of hospitality properties.

Mr. Robins has extensive experience representing various developers and institutions in the acquisition, development, leasing, repositioning and disposition of real estate, including hotels, restaurants, retail centers, multi-family properties and office buildings.  Mr. Robins advises companies on strategic real estate decisions, and has extensive experience representing both acquirers and targets with respect to the real estate aspects of corporate M & A transactions.

Representative Matters:

  • Represented a major student housing provider in restructuring a $300MM mezzanine loan facility held by a sovereign wealth fund - 2016.
  • Represented a Philadelphia region based borrower in $102MM CMBS mortgage loan and $48MM mezzanine loan for acquisition and renovation/repositioning of major, historic center city office building – 2014.
  • Represented the lender, a major international bank, in the origination of a $31.5MM, "Top 10" CMBS loan, secured by major hospitality property in Harrisburg, PA - 2015.
  • Represented private equity fund in joint venture with New England based developers to acquire and redevelop a large Florida shopping mall into an outlet center and a power center, and to realize upon the investment -  2011 to 2016.
  • Represented Fairfield County, CT based capital company subsidiary of a major international corporation in an approximately $50MM receivables purchase facility for Canadian receivables from a Canadian subsidiary of a major French technology and communications company – 2014.
  • Represented ownership of a major hotel in downtown Phoenix, AZ  in obtaining a highly structured $36MM aggregate CMBS and mezzanine loan package – 2014.
  • Represented Philadelphia based private equity fund in the formation of a tri-party, structured joint venture for the acquisition, financing, renovation and repositioning of a large multi-family property in the greater Los Angeles, CA area – 2013.
  • Represented New York based publicly traded REIT in the renewal and modification of the center city Philadelphia headquarters office lease of a major international law firm – 2012.
  • Represented Mezzanine Lender in acquiring Marriott flagged hotel in the Midwest by UCC sale, negotiating a joint venture agreement between the Mezzanine Lender and a recognized operator of iconic Midwestern hotels to renovate and operate the hotel and negotiating with the special servicer the necessary amendments and an assumption of the existing securitized senior debt on the hotel property – 2012.
