Edward J. Kuna

Biography

Edward J. Kuna has more than 20 years’ experience representing individuals, public and privately held companies and financial institutions in connection with debt financing, real estate, and general corporate matters.

Ed’s debt financing experience is significant and broad-based, representing corporations, financial institutions and individuals in negotiating, structuring, documenting and administering real estate finance transactions of all types as well as secured and unsecured single-lender and multibank transactions, asset-based financings, cash flow loans, term loan and revolving credit financings. His real estate practice includes representing clients as buyers, sellers, lenders and borrowers in connection with a wide variety of real estate transactions encompassing loans, including construction and development financings, acquisitions, sales, development, management, and environmental assessment and remediation in both single asset and portfolio transactions. His general corporate experience includes representing clients in mergers, acquisitions, dispositions, shareholder agreements, joint ventures, licensing arrangements, employment agreements, as well as franchise, distribution, and sales agreements.

Before joining the firm, Ed was a member of a large national law firm headquartered in Pittsburgh. He also previously served as in-house counsel to the commercial division of one of the nation’s largest diversified financial institutions.

Representative Matters:
  • Represented institutional lenders and borrowers in connection with multimillion-dollar credit facilities, secured and unsecured, including multi-lender syndicated credits and real estate financing transactions
  • Advised clients in connection with the negotiation and administration of troubled credits, including negotiation of out-of-court restructuring and forbearance arrangements
  • Served as legal counsel in various capacities in connection with tax-exempt financing transactions
  • Served as outside general counsel to the North American division of one of the world’s premier multinational forest product manufacturers operating on five continents
  • Acted as counsel to buyers, sellers, landlords and tenants of commercial and industrial properties—negotiating agreements of sale and leases, due diligence and title clearance, and environmental assessment, remediation and indemnity issues; and
  • Represented corporate clients on a variety of other transactional matters, including stock and asset acquisitions and dispositions, private placement of equity and debt securities and joint ventures.
