Klehr Harrison’s Corporate and Securities Practice Group is structured to deliver legal excellence, innovative and results-oriented solutions and sound business judgment in a more cost-effective manner than traditional, multi-tiered law firms. Our attorneys maintain a strong and focused local and regional practice, working on a large number of the sophisticated and complex corporate transactions in our marketplace, including mergers and acquisitions, joint ventures and other partnership arrangements, reorganizations, public and private securities offerings, venture capital financings and other financing transactions. We are also experienced in advising companies and their officers and directors on general corporate governance, regulatory compliance and executive employment matters. Our attorneys work closely with members of the firm’s Fund Formation, Intellectual Property, Labor and Employment, Real Estate and Finance and Tax Practice Groups to deliver the best possible result for our clients.

Practice Areas

Members of the Corporate and Securities Practice Group possess expertise in all aspects of general corporate practice, including, but not limited to, the following: 

Executive Employment. Our attorneys serve as advisors to employers, directors and executives regarding the creation, implementation, communication and operation of executive compensation arrangements and executive employment agreements. We frequently counsel our clients regarding equity-based compensation plans, change of control agreements and separation agreements.

Gaming. Since the inception of Pennsylvania gaming laws in 2005, we have maintained a robust gaming practice, representing gaming industry owners, operators, vendors and businesses in all aspects of the business and regulatory issues involved in the development and operation of stand-alone gaming facilities and resort casinos in Pennsylvania.

Government Contracting. Our attorneys understand the myriad of government regulations that must be interpreted and navigated so that our clients can prosper in the government  contract marketplace. Healthcare. The complex and ever-changing world of healthcare requires skilled attorneys who can maneuver through the challenges imposed by increasing costs, competition and regulation. Our attorneys meet those challenges by drawing from experience in several different disciplines, including corporate transactions, litigation and tax. Our attorneys possess specific expertise in business transactions involving senior care and its related services (including skilled nursing, assisted living and independent living).

Private Equity. Our attorneys represent private equity firms, financial institutions, banks, portfolio managers and equity fund investors in a variety of private equity transactions, including those involving minority and majority interests, mergers and acquisitions, buyouts and recapitalizations. We represent investors and issuers in connection with the full range of financing options through the capital markets, including issuances of common and preferred equity, senior, subordinated and convertible debt, bridge loans, options, warrants and exchangeable instruments.

Retail. Our attorneys have represented numerous retail chains over the years, from small “mom and pop” shops to national businesses. Our attorneys recognize and understand the specific needs and requirements for our clients engaged in the retail sector, and we frequently assist our retail clients in conducting business transactions, resolving disputes and complying with government regulation so that they can grow into successful businesses.

Securities. Many of our attorneys represent issuers, underwriters, placement agents and sophisticated investors engaged in capital raising and financing transactions, including public and private offerings of debt and equity securities for seasoned and new issuers. Our attorneys have experience in a broad range of sophisticated securities-related matters, including the preparation of registration statements for primary and secondary offerings, proxy statements and periodic SEC reports for public companies and provide counseling regarding disclosure obligations and compliance with evolving stock exchange rules.

Venture Capital. Our attorneys frequently provide legal services to emerging companies, entrepreneurs and venture capital funds and other investors making investments in start-up businesses and emerging companies. Our practice in representing venture capital investors and emerging growth companies allows us to offer our clients a complete understanding of the issues and concerns on both sides of a venture capital financing transaction and enables our attorneys to build business relationships between our emerging growth company clients and the venture capital investors that we represent. 

Fund Formation

Klehr Harrison’s Fund Formation Practice Group, which is comprised of attorneys from our Corporate Practice Group, has developed unique and cutting-edge expertise in advising private pooled investment funds. We have advised clients in the formation of private funds ranging in size from $20 million to $2.5 billion, with investment focuses across a broad range of real estate and business sectors. We also represent these funds in other aspects of their operations, such as making investments to achieve certain tax or regulatory objectives of their limited partners.
