Biography

Stephan L. Cutler serves as Co-Chair for the Real Estate and Finance Department.  His real estate practice encompasses a wide range of real estate activities, including acquisitions, dispositions, leasing, financing, development, construction and restructuring for a wide variety of clients, including REITs, private equity funds, retailers, medical, dental and other professional service providers, gaming companies, universities, and non-profit organizations. Mr. Cutler is adept in a broad range of property types (e.g. retail, office, industrial, multi-family and mixed use) and ownership structures (e.g. fee simple, ground lease, air space, condominium, planned community and cooperative).

  • Counseled owner/developer of a three building, ±373,000 sf, office complex in connection with the negotiation of three office leases with a major health insurance provider that will occupy all of the rentable area in the complex, which complex will be entirely renovated over the next 3-4 years.
  • Counseled owner/developer in connection with the negotiation of a long-term lease to a Fortune 12 company that will occupy all or substantially all of a ±429,000 sf build-to-suit office building within a mixed-use project that will also contain a multi-level parking garage for ±1,500 vehicles, a ±165 room limited service hotel, a gastropub within a historic firehouse and public open space.
  • Counseled owner/developer in connection with the negotiation of a long-term lease to a Fortune 375 company that will occupy ±144,000 sf within a ±363,000 sf historic office building.
  • Counseled owner/developer in connection with the negotiation of a lease to hospitality company that will occupy and operate a seasonal restaurant and lounge on substantially all of the roof of a ±857,000 sf office building.
  • Counseled owner/developer of a ±350,000 sf project containing luxury student housing and retail/commercial space in connection with a $163,000,000 construction loan secured by a first mortgage on the project.
  • Counseled owner/developer of a start-up and soon-to-be best-in-class private urban social, hospitality, business and wellness club in connection with a ±75,000 sf long term lease.
  • Counseled owner/developer of a start-up and soon-to-be best-in-class co-working space provider in connection with a ±34,000 sf long term lease.
  • Counseled NYSE REIT in connection with the sale of 4 floors aggregating ±300,0000 sf of office space within a 15-story/±980,000 urban mixed use building, including, without limitation, the restructuring of master and sub-condominium documentation encumbering the property.
  • Counseled borrower and guarantors in connection with an ±$11,000,000 loan under Freddie Mac’s CME Program, secured by second mortgage on a student housing project.
  • Local real estate counsel to seller of all shares in an upper-tier real estate investment trust, and all limited partnership interests in an upper-tier operating partnership (where the real estate investment trust owns all the general partnership interests in the operating partnership, and the operating partnership indirectly owns all the beneficial interests in the owners of ±140 industrial properties).
  • Counseled owner/developer of an office building in connection with the grant of a preservation easement on the facade and certain objects within the building that contribute to the historic aspects of the city within which such building is located.
  • Counseled family partnership in connection with the sale of a commercial property to a developer that will redevelop the property into ±16 townhomes.
  • Real estate counsel for several different chain store companies handling, real estate matters throughout the United States.
  • Real estate counsel for a leading Philadelphia based private equity fund, handling real estate matters throughout the United States.
