Patrick J. Murphy, Jr.

Biography

Patrick J. Murphy, Jr. concentrates his practice on the representation of private investment funds on behalf of general partners, sponsors and investors, privately held companies and publicly traded corporations.

Patrick works with commercial, individual and mid market clients advising them on their complex day-to-day legal issues. Patrick routinely counsels clients on how to operate their businesses in the most efficient, successful manner, encouraging them to focus on the most important details in order to fully understand the big picture.

These issues are in connection with general corporate governance issues, general corporate counseling and a wide range of complex business and commercial matters including:

  • Equity and debt offerings
  • Venture capital and private equity financing
  • Commercial financing
  • Mergers and acquisitions
  • Joint ventures
  • Strategic investments and similar transactions

Patrick works with an exceptionally diverse compilation of businesses. He has expertly advised private equity funds, international investment firms, manufacturing companies, real estate owners, retailers, restaurants and others. Recently, Patrick represented a restaurateur through the process of forming an investment partnership, obtaining senior financing and the development and opening of several Philadelphia and Washington, DC restaurants. He has represented a local manufacturing company in the $25 million sale of substantially all of the assets of the company. Patrick has also represented a private equity fund in structuring several joint ventures and investment partnerships in connection with a $233 million purchase and redevelopment of office properties.

Prior to joining Klehr, Patrick served as in-house counsel at the U.S. headquarters for a Spanish energy and manufacturing company. Patrick grew up in the Philadelphia area.  During law school, he served in various capacities with Temple Law Review including as a Note/Comment Editor, was a member of the Dean’s List every semester and received the Raynes McCarty Award for outstanding legal writing.

Patrick is an active member of the Association for Corporate Growth (ACG), including as a member of ACG University’s Class of 2014.

An Eagle Scout, Patrick is adept at home repair, enjoys traveling, biographies and modern American novels, sports, and spending time with his wife and two sons in Philadelphia’s Fairmount neighborhood.

Representative Matters:

Mergers & Acquisitions

  • Represented the owner of a company that provides software and consulting services to employee stock ownership plans in the sale of all the issued and outstanding shares of its capital stock. In connection with the transaction, also negotiated employment agreements for an executive of seller.
  • Represented a supplier of industrial gases and equipment, in the sale of substantially all of its assets. In connection with the transaction, also negotiated employment agreements on behalf of several executives and leases between an affiliate of the sellers and the buyer for the continued operation of the current business locations.
  • Represented a seller, a commercial printing company, in the sale of substantially all of its assets. In connection with the transaction, also negotiated employment agreements on behalf of an executive and dealt with bankruptcy issues for the seller.
  • Represented a private investment firm in a merger and reorganization of a real estate services firm.
  • Represented a buyer in a stock purchase transaction to acquire all the issued and outstanding shares of capital stock of a developer and manufacturer of antimicrobial technology and related products. In connection with the transaction, also negotiated consulting agreements with principals of the sellers, loan documents in connection with a portion of the purchase price and a royalty agreement in connection with the intellectual property.
  • Represented a real estate developer and operator in connection with the buyout of its joint venture partner.

Joint Ventures

  • Represented a real estate company in the negotiation of a joint venture transaction in connection with the redevelopment of a mixed-use property. In connection with the transaction, also negotiated a property management agreement.
  • Represented a real estate company in the negotiation of a joint venture transaction in connection with the development of a restaurant.

Securities

  • Represented a fund sponsor in connection with its private offering of investment units to be used for renovating commercial real estate holdings.
  • Represented a residential real estate developer in its private offering of investment units for the purpose of raising funds to develop residential real estate properties located in Philadelphia.

Finance

  • Represented a residential real estate developer in connection with the buyout of its joint venture partner. In connection with the transaction, negotiated two bank loans and a preferred equity investment from a new investor.
  • Represented a fire apparatus manufacturer in the refinancing of existing company debt including an amended credit facility, a new term loan and a mortgage loan. With the new funds, the manufacturer paid off an existing lender with the exception of a portion of accrued and unpaid PIK interest, which PIK interest was converted to new ownership interests in the parent of the manufacturer.
  • Represented a developer and manufacturer of antimicrobial technology and related products in a joint venture and financing transaction.
  • Represented a convenience store company operating a chain of stores in the refinancing of its senior credit facility.

Restaurants and Hospitality

  • Represented a restaurant management company in the purchase of a commercial property in Pennsylvania, the negotiation of loan for the purchase of the land and the development of a restaurant at the location and a private offering of securities to investors to raise funds in connection with the development of the restaurant.
  • Represented a restaurant management company in the negotiation of a management agreement for the development of a restaurant on a college campus.
  • Represented a bar/restaurant in connection with its private offering of securities to investors and in connection with its receipt of financing from a quasi-governmental entity.
  • Represented a restaurant investor group in several restaurant investments in connection with private offerings of securities to investors.
  • Represented a restaurant group in general business and legal matters in connection with new restaurant opportunities and related fundraising.

General Corporate

  • Represented a full-service engineering, energy consulting, construction management and commissioning firm in general corporate matters.
  • Represented an event planning company in general corporate matters.
  • Represented a developer of technology to connect emerging artists to the art world in general corporate matters.
  • Represented a provider of recycled paperboard and specialized folding cartons in general corporate matters.
  • Represented a formerly public financial services firm in its continued winding up. In connection with the winding up, negotiated the sale of remaining securities and managed a final distribution to shareholders.
